право собственности на ценную бумагу, предполагающее право на получение выгоды; владение ценной бумагой, предполагающее право получения выгоды по ней
право бенефициарного владельца ценной бумаги (в т.ч. зарегистрированной на имя другого лица), на получение всей или части выгоды (доходов, права голоса и т.п.) по ценной бумаге или другому финансовому инструменту.
NB: следует обратить внимание на несовпадение понятий "владелц" в российском и английском праве: в России владелец ценной бумаги является ее законным владельцем и имеет право на получение выгоды от владения ценной бумагой (это означает, что номинальный держатель не является законным владельцем бумаги). В английском праве, реальный владелец ценных бумаг, имеющий право на получение выгоды (бенефициарный владелец, beneficial owner), не всегда является законным владельцем (legal owner). Последним может быть признано лицо, на чье имя ценные бумаги зарегистрированы (напр., брокер, номинальный держатель), причем нередко компания-эмитент может не знать, кто является бенефициарным владельцем ее бумаг, зарегистрированных на имя брокера или номинального держателя, поэтому компания направляет все доходы по бумагам и документацию "юридическому владельцу", который передает их бенефициарному владельцу
